Terms of Service
These Terms of Service are intended to govern access to and use of Penny, a personal AI-memory service operated by HelperLabs, LLC. Penny lets you save memories and notes, connect supported AI tools over the Model Context Protocol (MCP), and retrieve your stored context inside those tools.
1. Using Penny
By creating an account or using Penny, you agree to these Terms. You may use Penny only if you can form a binding agreement with HelperLabs and comply with these Terms and applicable law.
If you use Penny for an organization, you represent that you have authority to accept these Terms on its behalf.
You are responsible for your account, the security of your login credentials, your connected clients and services, and the content you choose to store, retrieve, or send through Penny. Please notify us promptly if you believe your account has been accessed without authorization.
2. Your memories and notes
As between you and HelperLabs, you retain ownership of the content you provide to Penny, including memories, notes, files, prompts, and connected-service content (“Your Content”).
You grant HelperLabs a limited, non-exclusive permission to host, process, retrieve, summarize, embed, transmit, display, and otherwise use Your Content only as necessary to provide, maintain, secure, support, and improve Penny for you. This includes processing through AI tools and model providers that you connect, select, or authorize.
This permission ends when Your Content is deleted from Penny, except to the extent retention is reasonably necessary for backups, security, legal obligations, dispute resolution, or the limited period described in our Privacy & Security page.
3. Privacy and security
Our Privacy page explains what we collect, how we use it, who may receive it, how connected AI providers are involved, and the security model Penny uses. It is incorporated into these Terms.
If these Terms conflict with the Privacy page on a matter concerning personal-data processing, the Privacy page controls.
4. Acceptable use
You may not use Penny to:
break the law or violate another person’s rights;
compromise, probe, interfere with, or abuse the security or operation of Penny or another service;
reverse engineer, circumvent, or attempt to access restricted components of Penny except where applicable law expressly permits it;
use Penny in a way that is fraudulent, harmful, abusive, or unreasonably burdensome to the service or its users; or
store, process, transmit, or share data that you are not authorized to handle.
Penny is a user-controlled memory and notes service. It is not designed or marketed for regulated protected-health-information workflows, payment-card storage, government identifiers, account credentials, private keys, passwords, or other secrets. Do not use Penny to store or process those categories of data unless HelperLabs expressly makes that use available and a separate written agreement permits it.
5. AI tools and third-party services
Penny may send relevant portions of Your Content to the AI tools, model providers, and connected services you choose or authorize so that those services can perform the requested function.
Those third parties operate under their own terms, privacy policies, and data practices. Your use of a third-party service is governed by its applicable terms. HelperLabs is not responsible for third-party services, their availability, their outputs, or their handling of data.
AI-generated results may be inaccurate, incomplete, or inappropriate for your situation. You are responsible for reviewing outputs before relying on or sharing them. Penny does not provide legal, medical, financial, or other professional advice.
6. Billing and subscriptions
If you choose a paid plan, the price, billing frequency, trial terms, renewal terms, and cancellation instructions will be presented to you before you complete your purchase.
Unless otherwise disclosed at purchase, paid subscriptions automatically renew for successive subscription periods until you cancel. You may cancel through your Penny account settings at any time; cancellation takes effect at the end of the then-current paid period unless applicable law requires otherwise.
Trials, promotional pricing, refunds, and plan changes are governed by the terms presented at purchase and our Terms of Service. Nothing in this section limits any non-waivable rights you may have under applicable law.
7. Availability and changes
Penny will evolve. We may add, change, suspend, or discontinue features, including integrations and third-party connections.
We may update these Terms when needed. If we make a material change, we will provide reasonable notice and state the effective date. Changes will not apply retroactively unless required by law or you separately agree. If you continue to use Penny after updated Terms take effect, you accept them; if you do not agree, you must stop using Penny and may cancel your account.
8. Suspension, termination, and deletion
You may stop using Penny at any time and may request deletion of Your Content as described in our Privacy page.
We may suspend or terminate access to Penny if reasonably necessary to protect the service or its users, comply with law, address suspected misuse or security risk, or enforce these Terms. Where appropriate, we will provide notice and an opportunity to address the issue.
Following termination or a deletion request, we will handle Your Content in accordance with our Privacy page and applicable law.
